Two Sites, Same Content, Duplicate Content Issues

Two identical sites on different domains

I am doing some work for a company that has the same website on two different domains. The huge problem here is the duplicate content issue. We are going about re writing the text of one of the sites (they are both huge).

Firstly I would like to address the name of the pages:
example.com/widget
example.co.uk/widget

Now, should I be changing the name of one of them to something like example.com/online-widgets?

Also all of the images have exactly the same names. I would think this would also prove to be a problem in the future? Is is good enough just to change the alt text? Or should I rather change the name of the image and the alt text.

Wouldn't it be easier (and more effective, and less confusing for visitors) to merge the two identical sites, and use a 301, then create a folder or two for any 'local interest' that the larger site does not cater for?

If your 'message' is 'one message', I see little advantage in having two sites ... and it clearly is, or the two sites would not have been created as twins.

I am assuming your goal is to rank in the UK as well as US and not to create duplicate sites. If so, change as much as possible. They may not need to be 100% unique.
